These Terms of Service ("Terms") govern access to and use of the Ordella platform operated by [LEGAL ENTITY NAME], registered in the Netherlands at [REGISTERED ADDRESS] (KvK [KvK NUMBER], VAT [BTW/VAT NUMBER]) ("Ordella", "we", "us").
By creating an account or using Ordella, you agree to these Terms and to our Privacy Notice. If you do not agree, do not use the platform.
1. What Ordella is
Ordella is a digital auction house platform. We provide catalogue creation, auction rooms, bidding infrastructure, payment coordination, messaging filters, and dispute processes. We are not the owner of items listed by sellers unless explicitly stated.
Sellers remain responsible for the physical object until it is delivered in accordance with the transaction. Buyers and sellers contract through the platform; Ordella enforces the protocol of the house.
2. Accounts and eligibility
2.1 You must provide accurate registration information and keep it current.
2.2 You must be at least 18 years old and legally capable of entering binding contracts.
2.3 We may refuse, suspend, or terminate accounts for breach of these Terms, fraud, or risk to the marketplace.
2.4 One natural person or legal entity per account unless we approve otherwise.
3. The house catalogue model
3.1 Sellers submit photographs and optional notes. Ordella creates the listing (title, description, classification, opening price proposal).
3.2 No listing is published until the seller reviews the draft and completes attestation as described in the Seller Listing Agreement.
3.3 Listings distinguish claims by provenance:
- Observed by the house — visible in submitted photographs or measurements taken by Ordella.
- Declared by the seller — facts only the seller can know.
- Inferred by the house — probable characteristics stated with appropriate uncertainty.
- Independently verified — confirmed by documentation or inspection.
3.4 Inferred statements are not warranties of fact. Declared statements are attributed to the seller and form part of the seller's obligations.
3.5 Artificial intelligence may propose catalogue text and answers to questions. AI output is proposed only. It does not publish listings, place bids, close auctions, or move funds. Automated systems execute those actions deterministically after human attestation or valid commands.
4. Auctions and fees
4.1 Auctions run in rooms with published opening prices, progressive bid increments, and a soft close (the clock resets on late valid bids as shown in the product).
4.2 There is no hidden reserve. The opening price is the minimum acceptable price. Once a valid bid is placed, the lot is sold subject to the Buyer Participation Agreement.
4.3 Fees (review, listing, success) are shown before you commit. We may change fees for future submissions with notice; fees shown at submission bind for that submission.
5. Liability allocation (summary)
5.1 Sellers are responsible for the accuracy of their photographs, declarations, and attestations, and for undisclosed material defects, as set out in the Seller Listing Agreement.
5.2 Buyers are responsible for honouring winning bids and payment obligations, as set out in the Buyer Participation Agreement.
5.3 Ordella is responsible for:
- errors in listing text introduced or altered by Ordella after seller approval without the seller's consent;
- failure of auction mechanics attributable to our systems (e.g. failure to record a valid bid, incorrect clock when our server authority applies);
- gross negligence or wilful misconduct by Ordella;
- obligations that cannot be limited under mandatory applicable law.
5.4 Ordella is not responsible for:
- statements correctly labelled as declared or inferred when the underlying issue is seller non-disclosure or buyer misinterpretation;
- carrier loss or damage except where we explicitly provide that service;
- subjective disappointment where evidence supports accurate listing.
5.5 To the extent permitted by law, Ordella's aggregate liability arising from these Terms is limited to the greater of (a) fees paid by you to Ordella in the twelve months before the claim or (b) €150, except where mandatory law provides otherwise.
5.6 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.
6. Disputes between participants
6.1 Participants submit disputes through Ordella's process. Ordella adjudicates on evidence and rules, not as an advocate for either party.
6.2 Decisions may be AI-assisted with structured case files. Appeal rights are limited to the criteria published on the platform.
6.3 Ordella may admit platform fault and provide remedies accordingly.
7. Acceptable use
You must not: list prohibited items; manipulate auctions; self-bid; circumvent fees; harass others; move transactions off-platform; upload others' photographs without rights; or interfere with platform integrity.
8. Intellectual property
8.1 Sellers grant Ordella a licence to use submitted photographs and notes to create listings, run auctions, and retain evidence.
8.2 Ordella owns platform software, branding, and catalogue presentation. Listing text authored by Ordella is licensed to buyers and sellers for transaction purposes.
9. Privacy
Our Privacy Notice explains how we process personal data. It forms part of your agreement with us.
10. Changes
We may update these Terms. Material changes will be notified with a reasonable period. Continued use after the effective date constitutes acceptance, or we may require re-acceptance.
11. Governing law and disputes
11.1 These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law rules.
11.2 Consumers in the EEA retain mandatory protections of their country of residence where applicable.
11.3 Courts of [COMPETENT COURT, NETHERLANDS] have jurisdiction, subject to mandatory consumer jurisdiction rules.
